Our Team

Nico is a lawyer in Emerald Law’s Civil and Corporate practice with a focus on commercial disputes and corporate matters. His practice areas encompasses Mergers & Acquisitions, Private Equity, Venture Capital, Start-up Fund Raising, Joint Ventures as well as shareholder and other company related disputes. Nico regularly assists clients in the drafting of various commercial  contracts,  agreements,  deeds,  and  other  corporate  documents  and  has experience representing clients in commercial and civil disputes at all levels of the Courts in Singapore.

Civil Disputes:

  • Writers Studio Pte Ltd v Chin Kwok Yung [2022] SGHC 205 where he acted for the Defendant in getting all claims dismissed with costs awarded on an indemnity basis.

  • Various shareholder and company disputes such as S216A derivative action, minority oppression and directors’ breach of fiduciary duties.

  • Various contractual disputes.

  • Successfully assisted a client in obtaining a Mareva Injunction  and also successfully assisting a client to get an injunction application dismissed.

Corporate transactions:

  • Assisted a client in the sale of a group of companies for approximately S$10 million to a leading logistics international corporation.

  • Assisted  in  various  fund-raising  transactions  (subscription  agreements,  shareholder agreements).

  • Assisted in the creation and allotment of preference shares.

  • Assisted in the creation of Employee Share Option Schemes. Assisted in the issuance of convertible notes.

Insolvency and restructuring:

  • Assisted in the application of a moratorium under section 64 of the IRDA and a subsequent application for a scheme of arrangement under section 210 of the Companies Act.

  • Assisted with various companies winding up applications.
